Ekisoniac is an AI-powered capital matching platform that helps connect businesses seeking capital with sources of capital and liquidity, based on factors including risk, duration, currency, liquidity, collateral, geography and market conditions.

Ekisoniac is a technology platform. It is not a bank, broker-dealer, lender, investment adviser, or licensed exchange, and it does not hold client funds. Nothing on this platform constitutes an offer or solicitation to buy or sell any security or financial instrument, or investment, financial or legal advice.

You must be authorized to act on behalf of any organization for which you submit financial information, and you must have the legal capacity to enter into these terms. We may verify your identity or authority before granting or continuing access, and may suspend or restrict accounts we reasonably believe are unauthorized, fraudulent, or in breach of these terms.

Use of the platform does not guarantee that a business will obtain financing, that a source of capital will find a suitable opportunity, or that any match will result in a completed transaction. Ekisoniac facilitates discovery and evaluation of compatibility; it is not a party to, and does not guarantee the performance of, any resulting agreement between users.

Compatibility scores, matches, explanations and other outputs generated by our AI systems are illustrative and informational. They are based on information available to the platform at a point in time, may be incomplete, outdated or inaccurate, and should not be relied upon as the sole basis for any financial decision. You are responsible for independently verifying any information material to your decisions.

The platform may display information submitted by other users or obtained from third parties. We do not independently verify all such information and make no representation as to its accuracy, completeness or reliability. You should perform your own diligence before relying on information about a counterparty.

Capital markets activity involves risk, including the risk that terms change, that a counterparty is not suitable, or that financing does not close. Compatibility indicators shown on the platform reflect a conceptual assessment of alignment across factors such as risk, duration, currency, liquidity and collateral, and are not a prediction or guarantee of outcome.

We maintain safeguards designed to protect information submitted to the platform, but no system is completely secure. You are responsible for maintaining the confidentiality of your account credentials and for promptly notifying us of any suspected unauthorized access.

To the maximum extent permitted by law, Ekisoniac and its affiliates will not be liable for any indirect, incidental, consequential or special damages, or for any loss of profits, revenue, data or financing opportunity, arising from your use of the platform or reliance on any match, score or AI-generated output, even if advised of the possibility of such damages.

We may suspend or terminate your access to the platform at any time, with or without notice, for conduct that we believe violates these terms, poses a risk to other users or the platform, or for any other reason at our discretion. You may stop using the platform at any time. Provisions that by their nature should survive termination will survive, including those relating to liability, risk disclosure and no guarantee of financing.

We may update these terms from time to time. Continued use of the platform after changes take effect constitutes acceptance of the revised terms.
